An agency contract is a contract between a person – the “principal” – who entrusts another person – the “commercial agent” – with the negotiation and/or conclusion of business. The commercial agent intervenes with the potential customer in the name and on behalf of the principal. Even if the parties agree, they cannot derogate from several of the legal provisions to the detriment of the agent. The law establishes a minimum threshold for the protection of the agent, a party deemed economically weak.
