An agreement whereby a principal desires a contractor to provide, and the contractor agrees thereto, in the capacity of a toll manufacturer, services for the manufacturing [assembly and service] of certain products for the principal. The principal owns, or under appropriate licensing or sub-licensing arrangements is entitled to use and exploit, all of the intellectual property rights and know-how, processes, knowledge, trade names and trademarks, necessary for the manufacturing [assembly and service] of the products.
