An agreement whereby the Franchisor grants to the Franchisee, who accepts, a non-transferable non-exclusive right, subject to payment by the Franchisee of the Entry Fee and Service Fee to:
(i) establish and operate a Store in accordance with and based on the Store Concept ; and
(ii) act in that Store (and in that Store only) as the Franchisor’s franchisee for the promotion and sale of the respective Products, in the name and for the account of the Franchisee, in accordance with and based on the Marketing Concept ; and
(iii) use the Intellectual Property of the Franchisor in the establishment and operation of that Store and the promotion and sale of those Products.
