Right of First Offer Clause

It is a clause that obliges the shareholder who wishes to sell his shares to notify the beneficiaries of the clause even before receiving an offer from a third party in order to allow them to negotiate with him the possible purchase of his shares.

The advantage of this clause is that it ensures discretion, as the prospective seller is not required to solicit offers from third parties.
